Customer-Directed Services

Fyrm prepares documents and performs services primarily using the information and instructions supplied by the customer. Customers are responsible for:

• keeping information current
• reviewing information before submission
• ensuring they have authority to act for the corporation
• identifying directors correctly
• identifying shareholders correctly
• identifying beneficial owners correctly
• choosing an appropriate business structure
• choosing an appropriate jurisdiction

• informing Fyrm of relevant changes

Fyrm is not responsible for consequences caused by materially inaccurate, incomplete, fraudulent, misleading or outdated information supplied by a customer.

Standard Corporate Documents

Fyrm may provide standardized corporate documents, resolutions, by-laws, registers, templates, organizational documents and default corporate structures.

These documents are intended to help with common business situations. They may not be appropriate for every corporation. Customers should seek professional advice for circumstances involving matters such as:

• complex share structures
• multiple shareholders
• shareholder agreements
• investors
• venture financing
• cross-border ownership
• estate planning
• tax reorganizations
• professional corporations
• regulated businesses
• other specialized situations

Government and Registry Decisions

Fyrm assists customers with preparing and submitting filings. Fyrm does not control government agencies or corporate registries, and therefore cannot guarantee:

• approval of an incorporation
• acceptance of a business name
• availability of a proposed business name
• government processing times
• government system availability
• approval of an amendment
• CRA processing times
• government account activation
• acceptance of information by a registry
• any other government decision

Government agencies may change requirements, change fees, experience processing delays, reject filings, request additional information or experience system outages.

Processing Times

Any processing time displayed by Fyrm is an estimate unless expressly stated otherwise in writing. Processing may be affected by matters outside Fyrm's control, including:

• government processing
• system outages
• statutory holidays
• manual review
• incomplete customer information
• business-name conflicts
• technical problems
• jurisdiction-specific requirements

Corporate Compliance

Fyrm may provide corporate compliance tools and services, including annual-return assistance, filing reminders, corporate-record management, compliance notifications and other administrative support.

However, the corporation and its directors and officers remain responsible for ensuring that the business satisfies its legal and regulatory obligations.

Fyrm's responsibilities are limited to services expressly included in the customer's package or separately purchased services.

Annual Returns Are Different From Tax Returns

Corporate annual returns filed with government corporate registries are separate from corporate income-tax returns.

Customers remain responsible for obtaining appropriate accounting and tax services.

CRA Registrations

Fyrm may assist customers with business numbers and CRA program-account registrations.

Government eligibility requirements and tax obligations are determined by applicable law and the Canada Revenue Agency. Fyrm's administrative assistance does not constitute individualized tax advice.

Business Names and Trademarks

A business-name search or NUANS search does not guarantee that a name may legally be used for every purpose.

Incorporating a business under a particular name does not necessarily provide exclusive trademark rights to that business name, logo, slogan, domain name or brand. Trademark rights and corporate-name registration are separate matters.

Customers concerned about intellectual-property protection should obtain appropriate professional advice.

Complimentary Business Website

Eligible Fyrm customers may receive a complimentary business website that Fyrm creates and manages on the customer's behalf. Depending on the applicable package, Fyrm may provide:

• website design
• website setup
• business-information publishing
• content updates
• technical maintenance
• website administration
• ongoing website-management services

The website is intended as an additional business-support service included with eligible Fyrm packages.

Customer Responsibility for Website Content

Customers are responsible for ensuring that information and materials they provide for their website are accurate, truthful, lawful, not misleading, authorized for publication and not infringing the rights of another person or business. This includes:

• business information
• prices
• product descriptions
• service descriptions
• claims
• photographs
• logos
• trademarks
• testimonials
• videos
• graphics
• other content

Fyrm may decline or remove content where it reasonably believes the content is unlawful, fraudulent, misleading, infringing or otherwise inappropriate.

No Guarantee of Website Results

Fyrm does not guarantee that a complimentary website will produce any particular commercial result. Fyrm does not guarantee:

• website traffic
• Google rankings
• SEO rankings
• leads
• customer inquiries
• sales
• revenue
• conversions
• profitability
• social-media growth
• any particular search-engine position

Results may depend on factors outside Fyrm's control.

Website Availability

Fyrm aims to maintain customer websites reliably but does not guarantee uninterrupted availability. Websites may occasionally experience interruption because of:

• maintenance
• hosting issues
• software updates
• cybersecurity incidents
• third-party outages
• Internet failures
• domain issues
• circumstances outside Fyrm's reasonable control

Website Management After Cancellation

Continued website management may depend on the customer maintaining an active Fyrm subscription.

Where website management is included with a Fyrm annual plan, Fyrm may stop providing ongoing maintenance, content updates, administration, technical support and other management services when the customer's applicable paid subscription expires or terminates.

Any transfer, continued management or operation after termination may be subject to separate terms.

Third-Party Services

Fyrm may use or integrate third-party services in delivering its services, including:

• payment processors
• website platforms
• hosting providers
• domain providers
• government filing services
• identity-verification services
• analytics platforms
• software providers
• professional service providers

Independent third parties may have their own terms, policies, service levels, warranties, privacy practices and refund policies.

Fyrm is not responsible for the independent acts or decisions of third-party providers except to the extent required by applicable law or expressly agreed by Fyrm.

Website and Educational Information

Fyrm attempts to keep its general website information accurate and useful. However:

Fyrm aims to provide reliable access to its platform but cannot guarantee uninterrupted or error-free availability. Services may be interrupted by:

• scheduled maintenance
• software updates
• cybersecurity events
• third-party service outages
• government-system outages
• Internet failures
• other circumstances outside Fyrm's reasonable control

Use of Fyrm is also subject to:
